Terms of Service

Effective date: March 1, 2026

1. Acceptance of Terms

By accessing or using Shedu’s platform, website, APIs, or any related services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

If you do not agree to these Terms, do not access or use the Service.

2. Description of Service

Shedu is a B2B automation platform for home-service contractors. The Service includes:

  • Automated SMS lead qualification and appointment scheduling
  • Google Ads budget and geo-targeting adjustments based on crew schedule
  • Google Calendar integration to read job and availability data
  • A contractor dashboard for monitoring leads, conversations, and campaign performance
  • Follow-up sequences, review request automation, and daily SMS summaries

Shedu reserves the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

3. Eligibility

You must be at least 18 years old and legally authorized to operate a business in your jurisdiction to use the Service. By using Shedu, you represent and warrant that you meet these requirements.

4. Account Registration

You must create an account to access the Service. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for safeguarding your account credentials and for all activity that occurs under your account.

Notify Shedu immediately at support@shedu.io if you suspect unauthorized access to your account.

5. Subscription and Payment

The Service is offered on a subscription basis. By subscribing, you authorize Shedu to charge your payment method on a recurring basis at the rates displayed at the time of purchase.

  • Billing cycle: Subscriptions are billed monthly or annually as selected at signup.
  • Renewals: Subscriptions automatically renew unless cancelled at least 24 hours before the renewal date.
  • Refunds: Shedu does not provide refunds for partial billing periods. If you cancel mid-cycle, your access continues through the end of the paid period.
  • Price changes: Shedu may change subscription prices with 30 days’ advance notice. Continued use after the notice period constitutes acceptance of the new price.
  • Failed payments: If a payment fails, Shedu may suspend the Service until payment is received.

6. SMS and Communications

The Service sends automated SMS messages to your leads and customers on your behalf. By using this feature, you represent and warrant that:

  • You have obtained all required consents from recipients to receive automated text messages in compliance with the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, and any applicable state laws.
  • You will not use the Service to send unsolicited, deceptive, or illegal messages.
  • You understand that standard carrier message and data rates may apply to recipients.
  • You are solely responsible for maintaining opt-out lists and honoring unsubscribe requests.

Shedu complies with TCPA requirements and will process opt-out requests (“STOP” messages) automatically. However, you remain legally responsible for your messaging campaigns.

7. Google Ads Integration

Shedu integrates with the Google Ads API to adjust your campaign budgets and geographic targeting on your behalf. By connecting your Google Ads account, you authorize Shedu to:

  • Read your campaign, ad group, and performance data
  • Modify budget amounts and geographic bid adjustments
  • Pause or enable campaigns based on your schedule settings

You retain ownership of your Google Ads account and all campaign data. Shedu acts as your agent and does not assume liability for fluctuations in ad performance, spend, or lead volume. You are responsible for your Google Ads billing relationship with Google.

8. Google Calendar Integration

Shedu may integrate with Google Calendar to read your schedule and determine crew availability. By connecting your Google Calendar account, you grant Shedu read access to your calendar events. Shedu uses this data solely to power the ad automation and scheduling features described in these Terms.

Shedu’s use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements.

9. Your Data

You retain all rights to your data, including customer contact information, lead data, and calendar data. Shedu processes this data only as necessary to deliver the Service and as described in our Privacy Policy.

You grant Shedu a limited license to use your data to operate and improve the Service. Shedu will not sell your data to third parties.

Upon termination of your account, Shedu will delete your data within 90 days, except as required by law or legitimate business purposes (e.g., billing records).

10. Intellectual Property

The Service, including all software, designs, text, and branding, is owned by Shedu and protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, distribute, or create derivative works of any part of the Service without written permission.

You retain ownership of any content you submit to the Service (e.g., business name, offer language, phone number). By submitting content, you grant Shedu a non-exclusive license to use it to provide the Service.

11. Third-Party Services

The Service integrates with third-party platforms including Google Ads, Google Calendar, Twilio (SMS), and Stripe (billing). Your use of these services is subject to their respective terms and privacy policies. Shedu is not responsible for the actions, content, or data practices of third-party services.

12. Prohibited Uses

You agree not to use the Service to:

  • Violate any applicable law or regulation
  • Harass, threaten, or harm any person
  • Send spam or unsolicited bulk messages
  • Transmit malware, viruses, or destructive code
  • Attempt to gain unauthorized access to any system or data
  • Reverse engineer, decompile, or disassemble the Service
  • Use the Service in a way that could damage Shedu’s reputation or infrastructure
  • Resell or sublicense the Service without written permission

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED AVAILABILITY.

SHEDU DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT RESULTS OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHEDU AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

IN NO EVENT SHALL SHEDU’S TOTAL LIABILITY EXCEED THE AMOUNTS YOU PAID TO SHEDU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

15. Indemnification

You agree to indemnify, defend, and hold harmless Shedu and its affiliates, officers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any law or the rights of a third party; or (d) your SMS campaigns and customer communications.

16. Termination

Either party may terminate the Service relationship at any time. You may cancel your subscription through the billing portal in your dashboard settings. Shedu may suspend or terminate your account if you violate these Terms, fail to pay, or engage in conduct that Shedu determines, in its sole discretion, is harmful to other users or to Shedu.

Upon termination, your right to use the Service immediately ceases. Sections that by their nature should survive termination (including Sections 10, 13, 14, 15, and 17) will survive.

17. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any dispute arising from these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, except that either party may seek injunctive relief in a court of competent jurisdiction.

You waive any right to participate in a class action lawsuit or class-wide arbitration.

18. Changes to Terms

Shedu may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the dashboard. Your continued use of the Service after the effective date of the revised Terms constitutes acceptance.
